Quarter Chart – Terms & Conditions

These Terms are a legally binding agreement between you and SMART ENGINE SYSTEMS INC. (“Company”, “we”, “us”, “our”).

Key Subscription Disclosures

1) Scope

These Terms govern your access to and use of the Quarter Chart websites, apps, emails, content, and related services (the “Services”) provided by SMART ENGINE SYSTEMS INC., a corporation organized under the laws of Ontario, Canada, having its mailing address at 15 – 75 Bayly St W #1056, Ajax, ON, Canada, L1S 7K7. By using the Services, you accept these Terms and our Privacy Policy.

2) Eligibility & Accounts

You must be at least 18 (or the age of majority where you live). You agree to provide accurate registration information, keep it current, and safeguard your credentials. You are responsible for all activity under your account and must promptly notify us of unauthorized use.

3) No Investment Advice; Market-Data Caveats

(a) Educational only. We are not an investment adviser or broker-dealer. The Services provide information and tools only, not investment, legal, tax, or accounting advice. Nothing is a recommendation to buy/sell any security.

(b) No performance promises. Past performance does not guarantee future results. You alone decide how to use the information.

(c) Data sources & delays. Market and fundamental data may be provided by third parties and may be delayed, incomplete, inaccurate, interrupted, or unavailable. We may correct errors without notice and have no obligation to update data in real time. Redistribution, bulk export, scraping, automated harvesting, or resale of data or charts is prohibited without our prior written permission.

4) License & Acceptable Use

We grant you a limited, revocable, non-exclusive, non-transferable license to use the Services for your personal or internal business use in accordance with these Terms. You may not: (i) copy, scrape, crawl, frame, mirror, or systematically download the Services or data; (ii) redistribute, resell, or commercially exploit content or derived datasets; (iii) bypass security or rate limits, reverse engineer, or interfere with operation; (iv) upload malware or unlawful/infringing content; or (v) use the Services to build a competing product or model. We may impose or modify rate limits to protect the platform.

5) Intellectual Property; Feedback

The Services and all content (including charts, visuals, text, logos, and software) are owned by us or our licensors and protected by law. Except as expressly permitted, no rights are granted. If you submit comments or suggestions, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use them without restriction.

6) Subscriptions, Billing, Trials, Proration, Cancellations

(a) Plans & auto-renewal. We offer monthly, quarterly, annual, and enterprise plans, each billed in advance and set to auto-renew unless you cancel. Current plan details and pricing are shown at checkout and on your account page.

(b) Currency & taxes. Fees are charged in USD unless stated otherwise. Prices exclude taxes; we may collect and remit taxes where required. You are responsible for any other applicable taxes, duties, or charges.

(c) Trials. Trials require a valid payment method and convert to paid at the end of the trial unless you cancel before it ends. Promotional trial lengths may vary by offer and are shown at sign-up. Currently: accounts created within the first 48 hours receive a 30-day trial; after 48 hours the trial is 14 days. We may modify or discontinue promotional trials at any time.

(d) Plan changes & proration. If you change plans, charges/credits are prorated immediately and your billing cycle resets to the time of change. Any prorated amount is invoiced and due immediately. (Technical note: proration behavior is “always invoice”; cycle anchor resets to “now”.)

(e) Payment failures & chargebacks. We may suspend or terminate access for failed payments, chargebacks, or unpaid amounts. You authorize us and our processors to automatically charge your payment method for recurring fees and applicable taxes.

(f) Cancellations. You may cancel at any time in Profile → Manage Plan or by emailing quarterchart@gmail.com. Cancellation takes effect at the end of the current billing term; you retain access until then.

(g) Refunds. Fees are generally non-refundable. However, we may, at our discretion, refund the most recent subscription charge if you request it within 30 days of the charge. Limit: one discretionary refund per account per 12-month period. Prior periods and partial terms are not refundable unless required by law.

7) Third-Party Services

The Services may integrate with third parties (e.g., payment processors, analytics, hosting, data providers). Their services are governed by their own terms; we are not responsible for them.

8) Service Changes; Availability; Beta

We may modify, suspend, or discontinue features at any time. The Services may be unavailable due to maintenance, outages, or factors beyond our control. Features labeled “beta” or “preview” are provided AS IS and may change or end without notice.

9) Electronic Communications; Recurring Payment Authorization

You consent to receive notices electronically (e.g., email to your account address or in-product messages). By starting a subscription, you authorize us to charge your payment method on a recurring basis until you cancel.

10) Indemnification

You will indemnify and hold harmless the Company and its affiliates, officers, directors, employees, and agents from claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Services or your violation of these Terms or any rights of others.

11) Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ACCURATE, OR ERROR-FREE.

12) Limitation of Liability

To the fullest extent permitted by law: (a) we are not liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, data, or goodwill; and (b) our total liability for any claim relating to the Services is limited to the greater of CAD $100 or the amounts you paid to us for the Services in the 12 months before the event giving rise to the claim. Some jurisdictions do not allow certain limitations; in those cases, the limitations apply to the maximum extent permitted.

13) Termination

You may stop using the Services at any time. We may suspend or terminate access immediately if you breach these Terms, pose a security risk, or cause harm to other users or our systems. Sections that by nature should survive (e.g., IP, disclaimers, limits, indemnity) survive termination.

14) Copyright Complaints

If you believe content on the Services infringes your rights, contact us at quarterchart@gmail.com with: (i) your contact info; (ii) a description of the work allegedly infringed; (iii) specific URL(s); and (iv) a statement that you are authorized and that the information is accurate. We may remove or disable access to alleged infringing material in our discretion.

15) Export Control; Sanctions

You represent you are not located in, under the control of, or a national/resident of any country or party subject to Canadian, U.S., or other applicable sanctions, and you will not use the Services in violation of export or sanctions laws.

16) Governing Law; Venue; Class-Action Waiver

(a) These Terms are governed by the laws of Ontario, Canada, without regard to conflict-of-laws rules, and subject to the exclusive jurisdiction and venue of the provincial or federal courts located in Toronto, Ontario.

(b) Class-action waiver (to the extent permitted by law): You and we agree to bring disputes only on an individual basis and not as a plaintiff or class member in any class or representative action. This subsection does not limit any non-waivable statutory rights.

17) Consumers & Local Law

If you are a consumer in a jurisdiction that grants mandatory rights (e.g., certain EEA/UK or provincial consumer laws), these Terms apply to the extent permitted and are not intended to limit those mandatory rights.

18) Assignment

You may not assign these Terms without our prior written consent. We may assign them in connection with a merger, acquisition, or sale of assets.

19) Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide notice (e.g., by email or in-product). Your continued use after the effective date constitutes acceptance of the updated Terms.
